Shaires Holdings Ltd has entered into an agreement to invest $12 million in Colossal Biosciences. This move grants Shaires a roughly 0.1% stake in the genetics and de-extinction company.
The investment was completed through an in-kind contribution, with Shaires issuing 600,000 new ordinary shares at $20 each. This share price reflects an 18% discount compared to the closing price of the company on the prior Tuesday.
Under the terms of the agreement, Shaires maintains the discretion to acquire up to $42 million in additional Colossal shares from existing shareholders. These future acquisitions would be priced at $24.89 per share, which aligns with the company valuation established during its September 2025 Series C funding extension.
Colossal Biosciences continues to apply artificial intelligence and computational biology to its work in species preservation and de-extinction. Founded in 2021, the firm reported its first proof-of-concept in April 2025 and currently aims to produce a woolly mammoth calf by 2028. The company remains a private entity and has not announced a timeline for an initial public offering.
Shaires confirms that its new shares are expected to be admitted for trading on the AIM market on or around August 21. Following this admission, the total number of ordinary shares issued by Shaires will reach 3,841,810.
